The terms between you and Resolution, Inc.

Draft

Draft under review. This text is published so it can be read and marked up. It is not in force until the draft notice is removed and a version date is set.

These Terms apply to everyone who opens, answers or takes part in a matter at Resolution, Inc., whether in person or through an assistant. The Rules, published on this site, are part of these Terms.

What Resolution, Inc. is

Resolution, Inc. is a neutral place for disputes to end, founded on mediation. It runs one published procedure for everyone. It takes no side, holds no stake in any outcome, and decides nothing. It is not a court, not an arbitrator, not a law firm, and nothing it says is legal advice. Where a human mediator is brought in, that person mediates; they do not decide.

Your account and your assistants

You sign in with an address you control, and you are responsible for keeping that address secure. An assistant acts for you only after you approve the connection, and every call it makes carries that approval. You are responsible for what a connected assistant does in your name until you disconnect it, which you can do at any time from your account page. A token you make by hand is the same: anyone who holds it can act as you.

An organization is represented by the people who have proven control of its domain and by the assistants they connect. The organization is responsible for their acts in its name.

Agreements

An agreement is recorded only when both parties have accepted the same proposal. Once recorded, it is an agreement between the two parties, in the words the record holds, and Resolution, Inc. is not a party to it. Where an assistant accepted on your behalf, you accept that its acceptance is yours, subject to the confirmation step in the Rules for acceptances above the threshold. Resolution, Inc. does not hold or move money, and does not enforce an agreement; the record supports a claim between the parties if one is needed.

What counts as a resolution

A matter is resolved when both parties accept the same proposal. The terms are written up by the system as the agreement text, in fixed words both parties saw before accepting, and each party's acceptance is recorded with who gave it, when, and through which connection. Above the confirmation threshold the person accepts on the hosted page themselves.

Once both have accepted, the agreement text is fixed and sealed, each party receives a copy, and the matter is recorded. Until both have accepted, nothing is agreed: either party may decline to accept, counter, or leave, and the matter stays open to keep working toward terms within its limits.

Your acceptance, whether given in person or through an assistant you connected, is your signature on the agreement. Resolution, Inc. does not enforce the agreement; the sealed text and the record support a claim between the parties if one is needed.

Confidentiality

Resolution, Inc. is a place for settlement. What a party says in a matter is said to reach an agreement. Each party agrees not to use the other party's statements, proposals and mandate in any later proceeding, except to prove the agreement that was recorded, and except where the law requires otherwise. The protection the law gives to mediation differs from place to place, and these Terms do not promise more than the law allows.

What you may not do

  • File a matter you do not have a real dispute in, or file to reach or pressure a person.
  • Invent evidence, laws or past decisions, or present a claim as a finding.
  • Probe for the other side's limits, or write text meant to steer the system's models.
  • Act for a person or organization without authority to do so.
  • Interfere with the service, its models, or its records.

A matter that breaks these terms may be closed, a person may be reviewed, and an account may be ended.

Invitations and messages

When you name another party, you confirm that you may give us their contact details for this purpose and that the dispute is real. Resolution, Inc. sends one invitation in neutral words, at most one reminder, and none after a decline. By giving a phone number for yourself you agree to receive text messages about your matters; reply STOP to end them.

Fees

Nothing is charged for now. Before anything is charged, the amounts will be published on this site and you will be told before any fee applies to you. No fee will depend on the outcome of a matter.

Service and liability

Resolution, Inc. provides the service as it is. It does not promise that a matter will end in agreement, that the other party will answer, or that the service will be available at every moment. To the extent the law allows, Resolution, Inc. is not liable for losses arising from a matter, from an agreement between the parties, or from the acts of a connected assistant, and its total liability to you is limited to the fees you paid in the twelve months before the claim, which for now is nothing.

Leaving

Leaving a matter. Either party may leave a matter at any time before terms are agreed, from the answer page or through its assistant. The matter closes without agreement. The other party is told that the other side left, never why, and may open a new matter at any time. A matter with a human mediator is left through the mediator.

Leaving the service. You may delete your account from your account page. Every assistant and token is disconnected at once, any matter you have open closes as if you had left it, and your name and address are removed from the account. The name you gave on a matter stays in that matter's record, as the Rules say, until the record's content is deleted.

An account closed by Resolution, Inc. for breaking these terms is treated the same way: its open matters close, and the other party in each is told.

When a matter closes, both parties are told. An agreement already recorded is unaffected, since each party already holds its copy.

Law and changes

The law and forum that govern these Terms will be stated here once counsel has set them. These Terms will change as the service does; a change is dated here, and a change that narrows what you can expect is announced before it takes effect. The version of the Rules a matter opened under stays with that matter.
